The deal, a key step in BASF's "Winning Ways" portfolio strategy, transfers the popular Suvinil brand and approximately 1,000 employees to the US coatings giant.
BASF SE and The Sherwin-Williams Company have successfully completed the acquisition of BASF’s Brazilian decorative paints business by Sherwin-Williams. The transaction, valued at $1.15 billion on a cash and debt-free basis, officially closed on October 1, 2025, following the necessary approval from the relevant Brazilian competition authority at the end of August 2025.
This significant divestiture by the German chemical giant includes the decorative paints business's operations, which generated sales of approximately $525 million (approximately €485 million) in 2024. The sale encompasses the production sites located in Demarchi and Jaboatão, all related contracts, the highly recognized Suvinil and Glasu! brands, and the approximately 1,000 employees associated with the business.
The decorative paints business was notably BASF’s only sizeable Business-to-Consumer (B2C) operation, offering a wide portfolio of paints, paint preparation products, and digital solutions. Operating almost exclusively in Brazil, the business had limited synergies with BASF’s other coatings segments, which primarily focus on automotive OEM and refinish coatings.
The sale aligns directly with BASF's overarching "Winning Ways" strategy, which emphasizes active portfolio management to unlock value from standalone businesses and focus resources on core, integrated chemical value chains.
Anup Kothari, member of the Board of Executive Directors of BASF SE and responsible for the Coatings division, underscored the strategic nature of the move: “This transaction exemplifies how we are proceeding at speed to create value through active portfolio management as part of BASF’s Winning Ways strategy. We are convinced that the decorative paints business will continue to thrive under the ownership of Sherwin-Williams.”
Kothari also extended his appreciation to the transferring employees, acknowledging their role in establishing Suvinil as the most recognized brand for decorative paints in Brazil, and wished them well for their future within a leading company in the paints and coatings industry.
For Sherwin-Williams, the acquisition represents a major strategic expansion, significantly strengthening its market presence in Latin America with the addition of Brazil's leading architectural paint brand. Suvinil has a more than 60-year legacy of innovation and quality in the region and is highly trusted by professional painters, designers, and consumers across the value chain. Sherwin-Williams is expected to capitalize on the strong brand equity and comprehensive distribution network of the Suvinil business.
