International Flavors & Fragrances Inc. (IFF), a global leader in flavors, fragrances, and health and biosciences, has entered into a definitive agreement to divest its portfolio of botanical extracts, vitamins and minerals, and food enhancement activities to SuanNutra, a portfolio company of Carbyne Equity Partners. The transaction represents another strategic milestone in IFF’s ongoing portfolio optimization efforts, enabling the company to strengthen its focus on its core businesses while positioning the divested operations for future growth under new ownership.
The portfolio being transferred serves a diverse range of food, beverage, and nutritional markets with customized ingredient solutions. It includes botanical extracts, vitamins, minerals, natural colors, antioxidants, and selected localized flavor operations in Peru. These businesses have established a strong reputation for delivering science-based and naturally derived ingredients that cater to evolving consumer demand for healthier and clean-label products.
According to IFF, the divested businesses generated approximately $170 million in revenue during 2025. Around 600 employees will transition as part of the transaction, along with five manufacturing facilities located across Europe, the United States, and Latin America. Financial details of the agreement were not disclosed.
IFF Chief Executive Officer Erik Fyrwald stated that the company is confident the businesses will continue to grow under the ownership of SuanNutra and Carbyne Equity Partners. He noted that the sale aligns with IFF’s broader strategy of optimizing its portfolio while concentrating investments on its innovation-driven segments, namely Taste, Scent, and Health & Biosciences. By focusing on these core divisions, IFF aims to strengthen its competitive position, accelerate innovation, and generate sustainable long-term value for shareholders.
For SuanNutra, the acquisition significantly expands its portfolio of science-backed functional ingredients and strengthens its presence in the global food, beverage, and nutrition industries. The addition of botanical extracts, vitamins, minerals, natural colors, and antioxidant solutions broadens the company's product offering and enhances its ability to meet increasing demand for natural, health-oriented ingredients across international markets.
The transaction is expected to be completed by the end of 2026, subject to customary closing conditions, including regulatory approvals and consultation requirements. Alantra served as financial advisor to IFF, while DLA Piper LLP provided legal counsel throughout the transaction. Once finalized, the deal is expected to reinforce IFF’s strategic priorities while enabling SuanNutra to expand its manufacturing footprint, customer base, and innovation capabilities within the functional ingredients sector.
