Sharon AI Inc., a high-performance computing (HPC) company specializing in artificial intelligence (AI) and cloud GPU compute infrastructure, and New Era Helium Inc., a Permian Basin-based exploration and production platform, have signed a Memorandum of Understanding (MOU) with PowerForward Energy Solutions (PFES) to support a planned 250-megawatt AI/HPC data center in West Texas.

The non-binding MOU, signed April 23, 2025, outlines the collaboration for the development of the AI-focused data center through their joint venture, Texas Critical Data Centers LLC (TCDC). PFES, a joint venture between U.S.-based Progen Industries and MBS Engineering Inc., brings more than 70 years of combined experience in natural gas-powered generation systems.

Under the agreement, PFES will manufacture, install and operate 250MW of on-site natural gas generators at the Ector County facility. The partners aim to deliver an initial 100MW of power within 12 months of securing funding, followed by the full 250MW deployment over the next six months.

Site preparations are currently underway, including the completion of a Phase I Environmental Site Assessment and planning for the required air permit. Meanwhile, discussions continue with prospective customers, which may lead to powered land sales.

TCDC, in collaboration with PFES, is also evaluating carbon capture technologies to support sustainable operations. Additional project milestones are expected in the coming months, including progress on securing natural gas supply agreements and advancing grid interconnection plans.

“We are excited to partner with PowerForward Energy Solutions,” said Wolf Schubert, CEO of Sharon AI. “Their proven ability to rapidly deliver large-scale power infrastructure gives TCDC a competitive edge in offering scalable, near-term solutions to AI and HPC customers.”

Will Gray, CEO of New Era Helium, noted, “With our Ector County site identified and due diligence well underway, we’re well-positioned to execute our power strategy. Our proximity to intrastate and interstate natural gas pipelines enhances our ability to secure cost-effective, reliable energy.”

Brian James and John Manning, co-founders of PFES, emphasized the strategic significance of the project. “We are witnessing a fundamental shift in how America powers its digital future. The rise of AI and high-density computing makes resilient, on-site generation indispensable. We’re proud to help pioneer the next generation of intelligent and integrated power infrastructure.”

The project marks a major step toward meeting the surging energy needs of data-intensive technologies while leveraging Texas’ abundant natural gas resources.
