AM Green to Acquire ORIX’s Stake in Greenko Energy Holdings

AM Green acquires ORIX’s Greenko stake, expanding its green energy footprint and advancing green ammonia, hydrogen, and SAF projects.

AM Green BV (AMG), a prominent player in the clean energy space, has entered into definitive agreements to acquire a 17.5% equity stake in Greenko Energy Holdings (Greenko) from Japan-based ORIX Corporation. The acquisition will be executed through AMG’s wholly owned subsidiary, AM Green Power BV (AMG Power). Following the completion of this transaction, expected in July 2025, AMG, including the stake held by its promoters, will collectively hold approximately 25% of Greenko’s equity.

In parallel with this equity transaction, ORIX has also agreed to invest in a convertible note issued by AM Green (Luxembourg) S.à.r.l (AMG Lux), which is the parent entity that owns 100% of AMG. This move allows ORIX to maintain long-term exposure to emerging green sectors such as green hydrogen, green ammonia, sustainable aviation fuel (SAF), and other next-generation low-carbon molecules. The investment is aligned with ORIX’s capital recycling strategy and broader focus on sustainable development.

Commenting on the development, Anil Chalamalasetty, Founder and CEO of AM Green, said, “This transaction is a significant milestone toward building one of the world’s most fully integrated and scalable green energy platforms. The deal enhances AM Green’s upstream integration capabilities through its strengthened partnership with Greenko, one of India’s largest renewable energy companies. Greenko operates over 10 gigawatts (GW) of renewable and pumped storage assets and is known for its innovation in large-scale energy storage. The company is currently developing what is expected to be the world’s largest “Intelligent Energy Storage Cloud Platform,” which will offer more than 100 gigawatt-hours (GWh) of daily storage capacity by 2030.

In addition to its energy storage and renewable generation capabilities, AM Green has set ambitious targets for the production of green fuels. The company plans to produce 5 million tonnes per annum (MTPA) of green ammonia. Construction of its first green ammonia project, with a 1 MTPA capacity, is already underway in Kakinada, Andhra Pradesh. Furthermore, the company is also advancing projects related to green hydrogen (targeting 1 MTPA capacity), sustainable aviation fuel (SAF), and low-carbon products such as caustic soda, ethanol, and high-value bio-based chemicals. These efforts are being supported by AMG’s proprietary Chempolis technology.

With this acquisition and strategic investment from ORIX, AM Green is well-positioned to accelerate the development of its next-generation clean energy platform and reinforce its leadership in the global transition to sustainable fuels.
