ExxonMobil Board Recommends Shifting Legal Domicile from New Jersey to Texas

ExxonMobil’s board recommends relocating its legal domicile from New Jersey to Texas to align with operations and strengthen shareholder value.

Exxon Mobil Corporation has announced that its Board of Directors has unanimously recommended that shareholders approve a proposal to change the company’s legal domicile from the state of New Jersey to Texas. The decision reflects the Board’s assessment that aligning the company’s legal registration with the state where its leadership and major operations have been based for decades would better serve shareholder interests and improve corporate efficiency.

According to the company, relocating its legal domicile will formally align its corporate registration with its long-established operational base in Texas. Darren Woods, Chairman and Chief Executive Officer of ExxonMobil, stated that Texas has taken clear steps in recent years to position itself as a supportive environment for businesses. These efforts, he explained, have created a policy and regulatory landscape that encourages corporate growth and value creation for shareholders. Woods emphasized that placing the company’s legal home in the same state where its operational leadership resides is both practical and strategically beneficial. He also highlighted that Texas understands the company’s industry and has a strong interest in the continued success of its operations.

While evaluating the proposal, the Board carefully reviewed the legal and regulatory framework in Texas. One important factor was the presence of modernized business statutes and the establishment of the Texas Business Court system. This specialized court is designed to handle complex commercial and corporate disputes more efficiently. Under Texas law, courts are required to apply clearly defined, statute-based standards when reviewing corporate decisions, which the company believes will provide greater predictability and support sound governance practices.

ExxonMobil clarified that the proposed redomiciliation is strictly a legal and administrative change and will not alter the company’s business operations, strategic priorities, management structure, or asset distribution. The relocation will also not impact employee locations or workforce arrangements. Furthermore, the company confirmed that the move will not reduce the rights of shareholders. The Board concluded that shareholder protections under Texas law are largely comparable to those currently available under New Jersey law, and in some areas may even offer stronger safeguards. ExxonMobil also confirmed it does not plan to adopt optional provisions under Texas law that could weaken shareholder rights that are currently in place.

The proposal to shift the company’s legal domicile has been detailed in a preliminary proxy statement submitted to the U.S. Securities and Exchange Commission. Shareholders will have the opportunity to vote on the recommendation during the company’s upcoming 2026 Annual Meeting of Shareholders.

Historically, ExxonMobil relocated its corporate headquarters to Texas in 1989. Since then, the state has served as the central hub for the company’s executive leadership, major corporate functions, and key research facilities. Texas also hosts a significant portion of the company’s workforce. Approximately 30 percent of ExxonMobil’s global employees are based in Texas, and roughly 75 percent of the company’s U.S. workforce operates from the state.

Additionally, ExxonMobil’s academic recruitment programs, operational activities, and many of its philanthropic initiatives within the United States are largely centered in Texas. In contrast, the company’s connection to New Jersey is primarily historical, dating back to the 1882 incorporation of Standard Oil of New Jersey. Notably, ExxonMobil’s Board has not conducted a meeting in New Jersey for more than four decades, further highlighting the shift of its operational focus toward Texas over time.
