Lummus Finalizes Acquisition of NAPCON From Neste, Bolstering Digital and AI Expertise

Lummus Technology, a global leader in process technologies and energy solutions, has completed its acquisition of the NAPCON digital technology portfolio from Neste. The transaction, initially announced in April 2025, marks a significant step forward in Lummus’ strategy to expand its digital and artificial intelligence (AI) capabilities for industrial applications.

The acquisition includes the transfer of NAPCON’s intellectual property, select assets and key personnel to Lummus Technology. In conjunction with the acquisition, Lummus and Neste signed a Strategic Collaboration Agreement to ensure ongoing delivery of NAPCON services to Neste and its affiliates.

“This is a pivotal moment as we officially integrate the NAPCON digital solutions into our portfolio and welcome many new talented individuals to our team,” said Leon de Bruyn, president and chief executive officer of Lummus Technology. “The addition of these advanced, AI-driven solutions strengthens our leadership in the digital transformation of our industry. We are now better positioned to help customers improve operational safety, performance and sustainability through more comprehensive AI and data-driven technologies.”

NAPCON’s digital solutions, including its well-known simulation “games” system, combine AI, advanced process control, automation and simulation software. These tools are designed to boost industrial safety, efficiency and sustainability, while enhancing the profitability and competitiveness of production operations. NAPCON software has evolved over time to address the increasingly sophisticated demands of process industries.

“This acquisition and the licensing of NAPCON to Lummus Digital represent a significant expansion of our digital capabilities,” said Amitabha Sinha, co-managing director of Lummus Digital. “This structure ensures that Lummus Technology remains at the forefront of innovation while empowering Lummus Digital to deliver cutting-edge, AI-driven solutions to our customers.”

The transaction involved collaboration among Lummus Technology, Neste, Lummus Digital and Ferroman Engineering Oy. Moving forward, Lummus Digital, in partnership with Ferroman, will continue to deliver NAPCON digital services to existing and new licensees.

Lummus Digital, a joint venture between Lummus Technology and TCG Digital, integrates process engineering expertise with advanced data science to deliver digital transformation tools across industrial sectors. Ferroman Engineering Oy, based in Finland, specializes in automation, AI-based optimization and digital engineering solutions for the process and steel industries.

This acquisition significantly enhances Lummus Technology’s ability to lead the industry in digital innovation, leveraging AI and smart technologies to optimize operations, reduce emissions and support customers’ sustainability goals.
