Mitsui will raise its Nutrinova stake to 89% and integrate upstream production, strengthening supply security, cost efficiency and ingredient growth.

Mitsui & Co., Ltd. is strengthening its position in the functional food ingredients market by increasing control over Nutrinova Netherlands B.V. and integrating the upstream production of key materials used in its products. The move is designed to create a more integrated supply chain, improve cost competitiveness and support the long-term growth of Mitsui’s Food Science business.

Nutrinova, which Mitsui currently operates as an equity-method affiliate with Celanese Corporation, produces and markets several important food ingredients used across the global food and beverage industry. Its portfolio includes the high-intensity sweetener acesulfame potassium (Ace-K), along with preservatives such as sorbic acid and potassium sorbate.

A key part of the strategy involves bringing the upstream operations of VP4 Frankfurt GmbH into Nutrinova. VP4, based in Germany, produces essential intermediates required for manufacturing Nutrinova’s sweetener and preservative products. The facility is currently owned by Sudarshan Germany Horizons GmbH. Under the planned arrangement, Celanese will acquire and operate VP4 during a transitional period before ownership is ultimately transferred to Nutrinova.

The integration is expected to connect Nutrinova’s production chain more closely, extending from upstream raw materials and intermediates to finished food ingredients. By bringing these operations under common control, the company aims to improve supply reliability, strengthen production efficiency and enhance cost management. Unified oversight is also expected to provide greater control over product quality and supply-chain operations.

Alongside the upstream integration, Mitsui will acquire an additional 19% stake in Nutrinova from Celanese. This transaction will increase Mitsui’s ownership to 89%, transforming Nutrinova from an equity-method affiliate into a consolidated subsidiary following a review of its governance structure.

The increased ownership will give Mitsui greater flexibility in making strategic decisions and implementing its growth plans for Nutrinova. The company sees the transaction as part of its broader Wellness Ecosystem Creation 2.0 strategy under its Medium-term Management Plan 2029.

Mitsui plans to build on Nutrinova’s existing portfolio of sweeteners, preservatives and functional ingredients while moving toward higher-value, customized solutions for food and beverage customers. The upstream integration could provide a stronger foundation for earnings growth by improving operational efficiency and securing critical inputs.

Overall, the transaction represents a significant step toward a vertically integrated business model for Nutrinova, potentially strengthening its competitive position in the global functional ingredients market while supporting consistent supply and quality for customers.
