OCI Global completes Beaumont ammonia plant handover to Woodside, securing payments and marking a major milestone in large-scale project execution success.
OCI Global has officially confirmed the successful completion and handover of its Beaumont New Ammonia (BNA) facility, located in Beaumont, Texas, to Woodside. This milestone follows the completion of rigorous performance testing, ensuring that the facility meets all operational and technical standards. With this transition, Woodside has now assumed full operational control of the plant, including the integration of the on-site operations team into its management structure.
As part of the divestment agreement, OCI Global has received a deferred payment of USD 470 million, which accounts for approximately 20% of the total transaction value. However, this amount has been adjusted to reflect certain financial considerations, including outstanding construction-related obligations, closing adjustments, and anticipated costs associated with final project completion. These financial elements were already accounted for in OCI’s previously disclosed total project cost estimate of USD 1.8 billion. Additionally, OCI had recorded a year-end liability of USD 228 million for 2025, calculated on an undiscounted basis. Based on these figures, the company expects to realize net proceeds of around USD 242 million in 2026.
The handover of the Beaumont facility represents a significant achievement not only for OCI but also for the ammonia production sector as a whole. The BNA plant is recognized as a pioneering, world-scale greenfield ammonia project in the United States. Its development required extensive effort, totaling more than 6 million man-hours, highlighting the scale and complexity of the undertaking. The project was executed during a challenging period for construction in the U.S., marked by rising inflation, supply chain disruptions, and resource constraints. Despite these hurdles, OCI and its partners successfully delivered the facility, demonstrating strong project management and execution capabilities.
With Woodside now fully in charge of operations, OCI’s involvement with the facility has effectively concluded. The company no longer holds any responsibility for construction or manufacturing activities at the site. Its remaining commitments are limited to administrative and contractual close-out processes, such as settling final invoices and addressing any outstanding disputes related to previously completed work, in accordance with the terms agreed upon with Woodside.
Commenting on this achievement, OCI Global’s CEO, Hassan Badrawi, emphasized the importance of this milestone for the company. He noted that the successful delivery and transfer of the Beaumont New Ammonia facility reflects OCI’s long-standing expertise in executing large-scale, capital-intensive projects. He also expressed gratitude to the numerous stakeholders who contributed to the project’s success, including employees, project leaders, contractors, and strategic partners. According to Badrawi, the project exemplifies OCI’s consistent approach to delivering complex infrastructure developments efficiently and effectively, even under challenging conditions.
Overall, the completion and handover of the BNA facility marks a defining moment for OCI Global, reinforcing its reputation as a capable developer of major industrial projects while enabling Woodside to advance its operational footprint in the ammonia sector.
