Questor Technology Moves to Expand North American Emissions Business

Questor Technology plans to acquire Emission Rx, combining combustion equipment, field services and fabrication capabilities to strengthen North American emissions solutions.

Questor Technology Inc. has signed a letter of intent (LOI) to acquire Calgary-based Emission Rx Ltd., a privately held company specializing in waste gas combustion services. The proposed transaction is designed to strengthen Questor’s position in North America’s emissions combustion technology market by combining equipment, field services, engineering expertise and fabrication capabilities.

The deal would bring together two Alberta-based companies with established positions in the waste gas combustion sector. Questor currently operates a company-owned rental fleet of more than 100 high-efficiency incinerators. Emission Rx, meanwhile, has an installed base of more than 800 units spanning five waste gas combustion product lines, along with established customer relationships and field service capabilities.

Questor expects the combination to create opportunities for cross-selling products and services across the two companies’ customer bases. The transaction would also provide Questor with access to established fabrication capabilities through a concurrent commercial arrangement with AeroTech Group of Companies. This could support the company’s ability to manufacture and deploy emissions-control equipment more efficiently.

The proposed acquisition would also bring experienced leadership back into Questor. Emission Rx executives Jeff Nelson and Justin Bouchard are expected to join Questor in senior operating positions. Both are engineers with extensive experience in combustion technology, product development and market operations. Their return is expected to strengthen Questor’s engineering, product development and field-service capabilities.

In addition to expanding its operational capabilities, the transaction is expected to resolve longstanding legal disputes between Questor and Emission Rx. Litigation originally initiated by Questor in 2018 would be fully settled at closing through mutual releases between the parties. Funds previously allocated toward the litigation could subsequently be redirected toward business development and growth initiatives.

Questor Interim President and CEO Mike Lindsay said the transaction would bring equipment, services and technical talent together under one organization. The company expects this integrated structure to improve its service offering while creating additional value for shareholders.

Emission Rx’s Justin Bouchard also highlighted the complementary nature of the companies’ product portfolios. The combined business could address a larger portion of the waste gas mitigation market and provide customers with a broader range of equipment and services.

Overall, the proposed acquisition could improve Questor’s competitive position by expanding its installed customer base, strengthening service coverage, adding fabrication access and increasing opportunities to serve the growing demand for waste gas management and emissions-control technologies.
