Woodside Finalizes Major Louisiana LNG Sell-Down to Stonepeak

The partnership with Stonepeak, a global investment firm, will accelerate funding for the LNG project and underscore growing demand for U.S. LNG exports.

Woodside, a leading global energy company, announced the successful completion of the sell-down of a 40% interest in Louisiana LNG Infrastructure LLC to Stonepeak on June 24. This strategic move, initially unveiled on April 7, 2025, significantly enhances the financial viability of the Louisiana LNG project and fortifies Woodside's near-term capacity for shareholder returns.

Under the terms of the agreement, Stonepeak will inject a substantial $5.7 billion towards the anticipated capital expenditure for the foundational development of Louisiana LNG. This commitment includes an accelerated contribution of 75% of the project's capital expenditure for both 2025 and 2026. As a result of this closing, Woodside has received an immediate payment of approximately $1.9 billion, representing Stonepeak’s 75% share of capital expenditure incurred since the effective date of January 1, 2025.

Meg O’Neill, CEO of Woodside, expressed strong optimism about the partnership, stating, “Our partnership with Stonepeak reflects the attractiveness of Louisiana LNG and was a key milestone towards achieving a successful final investment decision. Stonepeak is a high-quality partner, with extensive investment experience across US gas and LNG infrastructure.” She also noted the continued strong interest from additional potential partners in the Louisiana LNG project, indicating further opportunities for collaboration.

James Wyper, Senior Managing Director and Head of US Private Equity at Stonepeak, echoed O'Neill’s sentiments. “Louisiana LNG will be a timely and strategic addition to the US LNG export landscape as the world’s demand for cleaner, more flexible and more affordable energy continues to grow,” Wyper stated. He added, "We look forward to contributing our expertise and capital to the construction and future operation of Louisiana LNG and are highly energised to continue supporting the development of critical North American LNG infrastructure with global impact.”

The Louisiana LNG project, located near Lake Charles, Louisiana, boasts a fully permitted capacity of 27.6 million tonnes per annum (Mtpa) across five trains. The approved foundation project, which achieved a final investment decision in April 2025, encompasses three trains with a combined capacity of 16.5 Mtpa. Bechtel serves as the engineering, procurement, and construction contractor under a lump sum, turnkey agreement, ensuring streamlined execution. The facility will utilize Chart IPSMR® liquefaction technology and Baker Hughes LM6000PF+ gas turbines, employing advanced and efficient systems for LNG production.
