Samsung Biologics Launches $1.46B PolyPeptide Tender Offer

Samsung Biologics has launched a CHF 1.46 billion tender offer for PolyPeptide, backed by board support and its largest shareholder.

Samsung Biologics, a major contract development and manufacturing organization (CDMO), has taken a significant step toward acquiring PolyPeptide Group AG by publishing the prospectus for its public tender offer. The offer is being made through Samsung Biologics’ wholly owned Swiss subsidiary, Samsung Peptide AG, which is seeking to acquire all publicly held registered shares of PolyPeptide.

Under the proposed transaction, PolyPeptide shareholders will receive CHF 44.31 net in cash for each share. The offer values PolyPeptide’s total equity at approximately CHF 1.46 billion, positioning the deal as a major transaction in the global peptide manufacturing and biopharmaceutical services sector.

Samsung Biologics’ offer represents a substantial premium to PolyPeptide’s recent market valuation. The proposed price is approximately 40% above PolyPeptide’s unaffected share price on the SIX Swiss Exchange as of April 10, 2026. That date marked the final trading session before the first media reports speculated about a potential acquisition of PolyPeptide. The offer also carries an 11.6% premium to PolyPeptide’s volume-weighted average share price over the 60 trading days preceding Samsung Biologics’ pre-announcement on July 20, 2026.

PolyPeptide’s Board of Directors has unanimously recommended that shareholders accept Samsung Biologics’ proposal. The recommendation was issued by the board’s independent and non-conflicted members and is supported by an independent fairness opinion from IFBC AG, strengthening the credibility of the transaction from a shareholder perspective.

The proposed acquisition has also secured significant shareholder backing. Draupnir Holding B.V., PolyPeptide’s largest individual shareholder, owns approximately 55.65% of PolyPeptide’s outstanding shares, excluding treasury shares. The shareholder has committed to tender its entire stake into Samsung Biologics’ offer. This commitment provides the transaction with substantial support even before the broader shareholder acceptance process begins.

The main tender offer period is scheduled to start on September 15, 2026, and is expected to close on October 12, 2026, at 4 p.m. Swiss time. Completion remains subject to several conditions, including a minimum acceptance threshold of 66?% on a fully diluted share-count basis, excluding treasury shares. The transaction will also require applicable regulatory approvals and must satisfy other customary conditions detailed in the offer prospectus.

If completed, the acquisition would strengthen Samsung Biologics’ presence in peptide-related manufacturing and broaden its capabilities across the pharmaceutical supply chain.

Impact on Product & Chemical Commodity Prices

The acquisition is likely to have a positive strategic impact on peptide manufacturing and pharmaceutical-grade chemical demand by combining Samsung Biologics’ large-scale CDMO capabilities with PolyPeptide’s peptide development and manufacturing expertise. Increased investment, capacity expansion and integration could support higher demand for peptide synthesis chemicals, amino-acid derivatives, solvents, reagents and specialized pharmaceutical intermediates.
