OCI Global Sells Rotterdam Ammonia Terminal and Distribution Platform for €290 Million

The transaction is slated to close in the first half of 2026, pending regulatory and shareholder approvals.

OCI Global, a key global producer and distributor in the nitrogen products sector, announced a significant agreement for the sale of its European ammonia import and distribution assets. The company has reached a deal to sell 100% of its equity interests in OCI Ammonia Holding B.V. (OCI AH) to AGROFERT, a.s., a prominent European nitrogen products manufacturer.

The total cash consideration for the transaction is set at EUR 290 million. OCI AH is the holding company for two key operational entities: OCI Terminal Europoort B.V. (OTE), which is OCI's critical ammonia import and storage terminal located in Rotterdam, and OCI Ammonia Distribution B.V. (OAD), the platform responsible for distributing ammonia to third-party off-site European customers.

This divestment follows a series of strategic moves by OCI Global, including the recent sales of its Global Methanol Business to Methanex and its clean ammonia project in Texas to Woodside Energy. The sale to AGROFERT is consistent with OCI's overarching strategy to streamline its portfolio, focus on core competencies, and unlock shareholder value through the optimization of its global asset base.

The transaction is expected to be finalized in the first half of 2026, subject to the satisfaction of customary closing conditions, various regulatory approvals, and the necessary approval from OCI N.V. shareholders at an extraordinary general meeting.

Importantly, despite the sale, OCI has secured continued operational flexibility for its production facilities. OCI Nitrogen (OCIN), the company's production plant in Geleen, Netherlands, will maintain access to the OTE terminal through a throughput agreement. This ensures the Geleen facility retains its ammonia sourcing flexibility, mitigating any immediate disruption to its supply chain and operations following the change in ownership.

The announcement also highlighted that OCI Global is continuing to assess strategic options for its Geleen production facility itself. This suggests that the company's broader review of its European assets is ongoing and may lead to further adjustments in its portfolio. OCI stated it will provide the market with updates on the Geleen facility in due course.

For AGROFERT, the acquisition significantly strengthens its footprint in the European nitrogen market. Gaining control of OCI's Rotterdam terminal, a strategic hub for ammonia imports and storage, alongside the distribution network, allows the Czech manufacturer to enhance its logistical capabilities and market reach across the continent. The OTE terminal is particularly important, as it has been a focus for expansion and development to meet the growing demand for clean ammonia as a fuel and hydrogen carrier in Europe.
